This Affiliate Agreement is between Arms Depot (“Arms Depot,” “we,” “us”) and the person or business that applies to the Arms Depot Partner Program (“you”). You accept it by checking the agreement box and typing your name on the application. It takes effect when we approve your application.
1. Eligibility
You must be at least 18 years old, able to enter a binding contract, and a U.S. resident. We may decline any application for any reason.
2. Independent contractor
- You are an independent contractor, not an employee, partner, agent or joint venturer of Arms Depot.
- You have no authority to make promises, sign anything, or take on any obligation in Arms Depot’s name.
- You decide how, when and where you create content, and you pay your own costs and taxes.
- You must give us a completed IRS Form W-9 before we make any payout. We may issue you a Form 1099 as the law requires.
3. Your code and link
- We give you a personal discount code and referral link. Your code gives your audience a perk (for example, a percentage off eligible items plus free shipping above an order minimum).
- We decide which products are eligible for the perk and for commission. Some brands and items, including items on sale and brands with minimum advertised price (MAP) policies, may be excluded. Eligibility can change.
- Codes are limited to one use per customer and cannot be combined with other offers.
- We may change, replace or deactivate your code or link at any time, for example if it is posted somewhere it shouldn’t be.
4. Commissions and payouts
- Rates. Your commission is a percentage of the Net Profit on each eligible order. Your current percentage is shown in your partner dashboard. We may change it with 30 days’ notice by email or in the dashboard. Changes apply to orders placed after the notice period ends.
- Eligible orders. You earn commission on completed orders that use your code, or that come through your referral link within 30 days of the click. The order must not be cancelled, refunded, returned or charged back. “Net Profit” means the eligible product amount of the order after discounts, excluding tax and shipping charges, minus our cost of those products, our fulfillment and shipping costs, and payment processing fees, as calculated from our records.
- Not eligible. Your own purchases, purchases by anyone at your address or on your behalf, fake or duplicate orders, and orders that break this Agreement do not earn commission.
- Hold period. Commission is held for 30 days after the order to cover returns. After the hold, and once the order is complete, it becomes payable.
- Payment. We pay monthly once your payable balance reaches $50, in cash, by a method we choose.
- Clawback. If an order is refunded, returned or charged back, we remove the related commission. If we already paid it, we deduct it from your future payouts. If no future payouts are due, you agree to repay it within 30 days of our request.
- Records. Our records decide what is owed. If you think a payment is wrong, tell us within 60 days of the payout.
5. Confidentiality
- “Confidential Information” means anything non-public we share with you, including commission rates and payout terms; non-public, in-cart or dealer pricing; upcoming promotions and launch plans; supplier, distributor and fulfillment information; and any other business information we share in connection with the program.
- You will keep Confidential Information private, use it only to take part in the program, and not disclose it to anyone without our written permission.
- This does not cover information that is or becomes public through no fault of yours, that you already lawfully had, or that a law or court requires you to disclose (with prompt notice to us where allowed).
- These obligations continue for 2 years after this Agreement ends.
6. MAP compliance
Many brands we carry have MAP policies.
- You will never advertise or state a price below MAP, or state or imply a discount on a MAP brand.
- You will not publish our in-cart or hidden prices.
- When you mention savings, mention only the perk tied to your code, in the words we provide (for example, “10% off eligible items plus free shipping on orders $200+”).
7. FTC disclosure
- Every post, video, story, live stream, email or page that promotes Arms Depot must clearly disclose your relationship with us, for example “#ad” or “I earn a commission from Arms Depot.”
- The disclosure must be easy to see or hear, placed before or next to the recommendation, and not buried in hashtags or links.
- You follow the FTC Endorsement Guides and only make claims that reflect your honest experience.
- We may require you to edit or remove any content that doesn’t comply, and you will do so within 48 hours.
8. Prohibited conduct
You will not:
- Post your code or link on coupon, cashback, rebate, deal or discount-aggregator sites, or let anyone else do so.
- Bid on, or buy ads targeting, “Arms Depot,” armsdepot.co, our other trademarks, the brand names we sell, or misspellings of any of them, in any search engine or ad network.
- Refer yourself, place fake, test or incentivized orders, or use any method to fake clicks or conversions.
- Send spam or unsolicited messages, or use bots, purchased lists or misleading links.
- Run raffles, sweepstakes, giveaways or contests that involve Arms Depot, our products or your code.
- Post content showing illegal, unsafe or irresponsible use of firearms or accessories.
- Make legal claims about our products (for example, that an item is legal in a given state) or performance claims beyond the manufacturer’s published specifications.
- Present yourself as Arms Depot or as speaking for Arms Depot, or use our name or logo except as we allow for the program.
9. Platforms and laws
You will follow the rules of every platform you use (including YouTube, Instagram, Facebook, TikTok and X) and all applicable laws. You are solely responsible for your own content, accounts and claims.
10. Use of your content
You give Arms Depot a non-exclusive, royalty-free right to repost, share, and quote the content you create about our products, on our website, social accounts, emails and ads, with credit to you. This right continues after the Agreement ends for content already published. We will remove reposted content within a reasonable time if you ask in writing after the Agreement ends.
11. Ending the Agreement
- Either of us may end this Agreement at any time, for any reason, by email.
- When it ends, your code and link stop working.
- We will pay commission you earned on valid orders placed before the end date that are not refunded, returned or charged back. Payment follows the normal hold period and $50 minimum; a smaller final balance is paid with the last payout run.
- If we end the Agreement because you broke it, you forfeit unpaid commission.
- Sections 2, 4.6, 5, 10, 12, 13, 14 and 15 continue after the Agreement ends.
12. Indemnification
- You will defend and hold Arms Depot harmless from claims, losses and reasonable legal costs that arise from your content, your breach of this Agreement, or your violation of law or platform rules.
- Arms Depot will defend and hold you harmless from claims, losses and reasonable legal costs that arise from our products’ descriptions on our website, our breach of this Agreement, or our violation of law.
- The party seeking protection must notify the other promptly and cooperate.
13. Limitation of liability
- Neither party is liable to the other for indirect, incidental, special or consequential damages, or for lost profits.
- Arms Depot’s total liability under this Agreement is limited to the commissions paid or payable to you in the 12 months before the claim.
- These limits don’t apply to your indemnity obligations, breaches of confidentiality, or fraud.
14. Governing law
This Agreement is governed by California law. Any dispute will be brought in the state or federal courts located in Orange County, California.
15. General
- This is the entire agreement about the program.
- We may update it with 30 days’ notice. Continuing in the program after that means you accept the update.
- You may not assign this Agreement.
- If any part is unenforceable, the rest still applies.
- Not enforcing a term is not a waiver.
- Notices go by email to the address on your application, or to info@armsdepot.co for us.
16. Electronic signature
By checking the agreement box and typing your name on the application, you sign this Agreement electronically and agree it has the same effect as a handwritten signature. We record your typed name, the date and time, and your IP address.
